Unless otherwise provi ded in a LLC agreement, each member of a limited liability company has the right to inspect from time to time for any purpose reasonably related to the member’s interest as a member of the limited liability company and within a reasonable period of time fr om demand made of the limited liability company —
true and full information regarding the state of the business and financial condition of the limited liability company;
the name and last known business, residence or mailing address of each manager ;
a copy of the limited liability company’s LLC agreement, registration statement, certificate of registration and all amendments thereto; and
true and full information regarding the amount of cash and a description and statement of the agreed valu e of any other property or services contributed by such member and which such member has agreed to contribute in the future, and the date on which such member became a member.
Each manager shall have the right to inspect all of the information described in subsection (1) for a purpose reasonably related to the position of manager.
Except as provided in the LLC agreement, the manager of a limited liability company shall have the right to keep confidential from the members or managers of other classes of LLC interests, for such period of time as the manager deems reasonable, any information which the manager reasonably believes to be in the nature of trade secrets or other information the disclosure of which the manager in good faith believes i s not in the best interests of the limited liability company to disclose or could damage the limited liability company or its business or affairs by disclosure or which the limited liability company is required by law or by agreement with a third party to keep confidential.
A limited liability company may maintain its records in a form otherwise than legible provided that such form is capable of being reproduced in legible form.
Any demand by a member under this section shall be in writing and shall state the purpose of such demand.
The rights of a member or manager to inspect or obtain information as provided in this section may be restricted in the LLC agreement. 34. Business transactions of member or manager with the limited liability company 34 . Except as provided in a LLC agreement, a member or manager may lend to, borrow from, act as a surety, guarantor or endorser for, guarantee or assume one or more obligations of, provide collateral for, and transact other business with, a limited liability company and with or without interest or security as may be agreed, and shall have the same rights and obligations with respect thereto as a person who is not a member or manager.
