Liability of officers of corporate bodies

Where an offence under this Act committed by a corporate body is proved to have been committed with the consent or connivance of, or to be attributable to any neglect on the part of, a manager, director, secretary or other similar officer of the corporate body, or any person who was purporting to act in any such capacity, that person commits an offence and is liable on summary conviction to a fine of five thousand dollars and on conviction on indictment to a fine of fifteen thousand dollars.
Where the affairs of a corporate body are managed by its members, subsection (1) shall apply in relation to the acts and defaults of a member in connection with that member’s functions of management as if that member were a director of the corporate body.
A person may be convicted of an offence under subsection (1) although no proceedings are brought against the corporate body in respect of the offence or the corporate body is found not guilty in respect of the offence.
