A pplication for conversion and registration as a limited liability partnership

A firm may apply to convert to a limited liability partnership by filing with the Registrar — c Revised a s at 1st January, 2025 Page 31
a consent signed by all the partners of a firm that such firm should be so converted; and
an application for conversion together with the documents specified by the Registrar.
The consent shall adopt a registration statement of a limited liability partnership and a partnership agreement in conformity with the requireme nts of this Act to take effect upon registration of the conversion.
The conversion application shall be accompanied by a conversion fee equal to the fee payable on the registration of a limited liability partnership pursuant to section 18(2).
If, o n an application under this section, the Registrar is satisfied that a firm may be converted to a limited liability partnership under this Part, the Registrar shall —
retain (in such form as the Registrar may determine) the application and other docume nts delivered to the Registrar under this section;
issue a certificate of registration stating that the firm has been converted to a limited liability partnership; and
enter such details in the register in respect of the limited liability partnersh ip ’ s conversion as the Registrar considers appropriate.
Subject to this Part, upon the issue of a certificate of registration under subsection (4) —
the firm, by virtue of the issue of that certificate, is converted into and becomes a limited liability partnership; and
the partnership agreement adopted in the consent shall take effect accordingly.
The certificate of registration issued under this section is conclusive evidence that —
the requirements of this Act in respect of conversion and of matters precedent and incidental thereto have been complied with; and
the limited liability partnership is registered as a limited liability partnership with the name specified in such certificate of registration.
